OFFICIAL RULES

1. HOW TO ENTER: Beginning on February 1, 2024, through February 15, 2024,
interested participants can make donations to Mayhem Mission at
https://give.classy.org/winleadville. Each donation of at least $20 qualifies you to be part of a
pool from which Legacy Foundation will randomly select charitable entry fundraising
participants. Your qualification will be registered in the form of a virtual ticket. You
acknowledge that the basis for your donation is to further the impact of Mayhem Mission, a
Tennessee charitable nonprofit. You may receive items in recognition for your contribution as
described on the donation page, e.g. a bracelet or tumbler. As a limited time bonus opportunity,
you may be invited to participate in a fundraising effort alongside the Legacy Foundation to earn
a spot in the 2024 Leadville 100 mountain bike race.

2. ELIGIBILITY: Open to residents of the 50 United States and D.C., 18 years of
age and older as of the date the sweepstakes begins, except for employees of Rich Froning
Fitness, LLC (“Sponsor”), as well as Mayhem Mission and Legacy Foundation (collectively
“Promotion Parties”), and members of their immediate family or persons living in the same
household. Promotion Parties reserve the right at their sole discretion to disqualify any individual
who tampers or attempts to tamper with the entry process or the operation of the donation
initiative or website or violates these terms and conditions. Void where prohibited.


3. DRAWING: A random drawing will be conducted on or about February 15, 2024,
by the Legacy Foundation to select the invitees from among all eligible entries received in the
form of virtual tickets. Odds of winning depend on the number of virtual tickets received.
Potential winner(s) will be notified by email and must sign and return any required Affidavit of
Eligibility and Release within 5 days of the date notice is sent or such other date set by the
Legacy Foundation. Failure to respond within the applicable time period will result in forfeiture
of invite and the Legacy Foundation shall have the option to award the invitation to an alternate
winner. All income taxes, if any, resulting from acceptance of invitation are the responsibility of
winner. By entering this initiative, entrant accepts and agrees to these Official Rules and the
decisions of the Promotion Parties, which shall be final in all matters. Acceptance of an
invitation from the Legacy Foundation also constitutes permission to the Promotion Parties to
use winner's name, likeness, and biographical information for marketing purposes without
further compensation or right of approval, unless prohibited by law. All federal and state laws
apply.


4. LIMITATION OF LIABILITY: By participating in this initiative, you as a
participant waive all right to, and hold the Promotion Parties and Sponsor harmless from, any
claim, liability, loss, damage (including punitive, incidental, and consequential damages), or
expense (including attorneys’ fees) arising out of or in connection with participation in this
sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT
ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR
CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Promotion
Parties will not be responsible for: late, incomplete, or incorrect information associated with donations
or donations; a participant’s failure to receive invitation notices due to entrant’s spam,
junk e-mail, or other security settings or for entrant’s provision of incorrect or otherwise non-
functioning contact information; technical, hardware, or software malfunctions, lost or
unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed
electronic communications whether caused by the sender or by any of the equipment or
programming associated with or used in this initiative; by any human error which may occur in
the processing of the entries in this initiative; or any typographical, technological, or other error
in the publishing of the offer, administration of the initiative, or announcement of the
invitation(s). If, in a Promotion Party’s opinion, there is such an error, or there is any suspected
evidence of tampering with any portion of the initiative, or if technical difficulties (including
viruses and bugs) compromise the integrity of the initiative, the applicable Promotion Party
reserves the right to cancel or modify this initiative in a manner deemed appropriate by the
Promotion Party. In the event of termination, invitees will be selected from among all eligible
participants as of date of termination. In the event a dispute arises as to the identity of a
potentially invited participant, entries will be declared made by the name on the online donation
and entry form.


5. INVITATION(S): The total invitational value cannot be determined by Promotion
Parties, and is the responsibility of invitees to determine. The terms of Legacy Foundation’s
charity slot program require a $5k fundraising commitment on your part as an invitee.
This includes an initial donation of $1,350 by 5pm CT on Friday, February 23, 2204, in
order to hold your spot. You may be asked for payment information to pledge the remaining
fundraising commitment under terms defined by Legacy Foundation. You are not guaranteed to
win an invitation and your chance of invitation is dependent on the total number of eligible
virtual tickets received. The specifics of the awarding and delivery of the invitation shall be
solely determined by the Legacy Foundation. No cash or other prize substitution permitted
except at the Legacy Foundation’s discretion. The invitations are nontransferable. Any and all
invitation and participation related expenses, including without limitation any and all federal,
state, and local taxes shall be the sole responsibility of the winner. For avoidance of doubt, an
invitee who agrees to participate in the Legacy Foundation fundraising-for-entry program shall
be responsible for all associated costs, including but not limited to training, travel and equipment
costs, in addition to the fundraising requirement of $5,000. Acceptance of an invitation
constitutes permission for Sponsor and Promotion Parties to use invitee’s name, likeness, and
entry for purposes of congratulatory advertising and trade, in all respects for the sole
advancement of benefit of the Promotion Parties’ nonprofit goals and missions, without further
compensation, unless prohibited by law and notified by invitee of such applicable law.


6. CHOICE OF LAW AND FORUM: Participant agrees that all matters arising out
of or relating to this initiative and these Official Rules are governed by, and construed in
accordance with, the laws of Tennessee, without giving effect to any of its conflict of laws
provisions thereof. Participant further agrees that any legal suit, action, or proceeding arising out
of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the
applicable federal or state courts located in Cookeville, Tennessee.


7. PRIVACY: The Sponsor and Promotion Parties respect your privacy and are
committed to protecting it through compliance with the following:

(a) Information Collection Practices. When you access Sponsor’s webpage or
participate in this initiative, we may collect or you may provide to us the following
information:

(i) Personal Information. Sponsor and/or Promotion Parties may ask
you to provide information by which you may be personally identified, such as
your first and last name, email address, telephone number, payment information
or any other identifier by which you may be contacted online or offline
(“personal information”).
(ii) Device Information. When you access Sponsor’s webpage, your
device sends some information about itself automatically, like its Internet
Protocol address (IP address), browser type, and language, and may send
additional information upon request like its screen size, operating system, and
preferences. If you do not want this information to be collected Sponsor’s
webpage or participate in this initiative.
(iii) Cookies. Cookies may be used for automatic information
collection purposes. Cookies are small files placed on your electronic device. You
can set your browser to refuse all or some browser cookies, or to alert you when
cookies are being sent. If you disable or refuse cookies or block the use of other
tracking technologies, some parts of the webpage may then be inaccessible or not
function properly.
(b) Information Use Practices. Sponsor and Promotion Parties may use
information that is collected about you or that you have provide in connection with
participation in the initiative, including any personal information, to:

(i) fulfill any purposes described in the initiative. For avoidance of
doubt purposes may include but are not limited to sending invitation notices to
selected participants by email; sending items in recognition of contributions made
(e.g. bracelet or tumbler); and use of invitee’s name, likeness, and entry for
congratulatory advertising and trade;
(ii) carry out any legitimate business interest in or other legal basis for,
such collection and use;
(iii) provide you with any other information, products, or services that
you request from us.
(iv) Provide you with periodical email newsletters. You can opt-out of
receiving this communication at any time by clicking the unsubscribe link in the
newsletter.
(c) Information Disclosure Practices. By participating in this initiative, you
understand that Sponsor and/or Promotion Parties, or anyone acting on their behalf, or
their respective licensees, successors and assigns may disclose aggregated information
about you, and information that does not identify any individual or device, without notice

or restriction. In addition, personal information that is collected or you provide including
but not limited to name, portrait, picture, voice, likeness, image, statements about the
sweepstakes, and biographical information may be disclosed:

(i) To Sponsor’s and/or Promotion Parties’ subsidiaries and affiliates.
(ii) To contractors, service providers, and other third parties Sponsor
and/or Promotion Parties use to support their respective businesses.
(iii) To fulfill the purpose for which you provide it.
(iv) For any other purpose disclosed by Sponsor and/or Promotion
Parties when you provide the information.
(v) With your consent.
(vi) To comply with any court order, law, or legal process, including to
respond to any government or regulatory request.
(vii) To enforce Sponsor and/or Promotion Parties rights arising from
any contracts entered into with you, for billing and collection.
(d) Your State Privacy Rights. State consumer privacy laws may provide their
residents with additional rights regarding use of personal information. Under certain
circumstances by law, you have the right to: request access to your personal information;
request correction of the personal information held about you; request erasure of your
personal information; request the restriction of processing of your personal information;
object to the processing of your personal information; request transfer of your personal
